Agreement to Our Legal Terms

We are Kuribo Software ("we," "us," or "our").

We operate vgstack.app, a video game library management application, as well as any other related products and services (collectively, the "Services") that refer or link to these legal terms (the "Legal Terms").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Kuribo Software, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

By using our Services, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms. It is your responsibility to periodically review these Legal Terms to stay informed of updates. Your continued use of the Services after the date such revised Legal Terms are posted constitutes your acceptance of the changes.

1. Rules of Conduct

You agree not to transmit any message, information, data, text, software or graphic files, or other materials ("Content") that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

You also agree not to:

Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Post or transmit any Content that contains viruses or corrupted data
Delete any author attributions, legal notices, or proprietary designations
Engage in actions that disrupt the availability of our website resources to other users
Post or transmit unsolicited advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation
Violate any applicable local, state, national, or international laws, rules, or regulations

The following restrictions apply to your use of our Services. You are not allowed to:

Access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify, or otherwise use any part of the Services or any Content except as expressly authorized by the Services or with prior written permission from Kuribo Software
Circumvent, disable, fraudulently engage with, or otherwise interfere with any part of the Services, including security-related features
Access the Services using any automated means (such as robots, botnets, or scrapers) except in the case of public search engines or with our prior written permission
Collect or harvest any information that might identify a person unless permitted by that person or allowed under these terms
Use the Services to distribute unsolicited promotional or commercial content
Cause or encourage any inaccurate measurements of genuine user engagement with the Services
Misuse any reporting, flagging, complaint, dispute, or appeals process

You agree to indemnify and hold Kuribo Software harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your violation of these terms of service or your violation of any rights of a third party.

2. User Content

Our Services allow you to submit Content, including game library entries, personal ratings, notes, and reviews. By submitting Content to our website, you confirm that:

You possess all necessary rights to submit such Content unencumbered by any third-party rights
The Content complies with these terms and relevant laws
Your submitted Content does not incorporate third-party intellectual property unless you have obtained permission or are legally entitled to do so

You bear full legal responsibility for the Content you submit to the Services.

By submitting Content, you grant us a worldwide, perpetual, non-exclusive, royalty-free, sublicensable, and transferable license to utilize that Content in connection with the Services and our business operations. You also waive any moral rights you may have in the Content.

If any of your Content (1) violates this Agreement or (2) could potentially harm us, our users, or third parties, we reserve the right to remove or take down all or part of such Content at our discretion.

3. Account Termination

Termination by You

You may delete your account at any time through your account settings. Account deletion is immediate and permanent. When you delete your account:

All your personal data, including your game library, ratings, notes, and activity history, will be permanently deleted
Your username will become available for others to use
This action cannot be undone

We recommend exporting your data before deleting your account if you wish to retain a copy of your information.

Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Legal Terms or engaged in conduct that we determine, in our sole discretion, to be harmful to us, our users, or third parties.

Upon termination by us, your right to use the Services will immediately cease. We may, but are not obligated to, provide you with notice and an opportunity to retrieve your data before termination.

4. Intellectual Property Rights

We grant you the right to utilize the Services for personal, non-commercial purposes. You agree not to modify, publish, transmit, participate in the transfer or sale, create derivative works, or exploit our website commercially unless expressly authorized in writing by us.

Game titles, cover art, and metadata displayed within the Services are the intellectual property of their respective owners. Such content is displayed for informational purposes only and does not imply any endorsement or affiliation.

Your use of the Services does not confer ownership of or rights to any part of the Services, including usernames or any other Content posted by others or Kuribo Software.

5. Third-Party Links and Services

The Services may provide links to other websites or resources, including but not limited to game databases and external gaming platforms. We are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources.

You agree not to hold Kuribo Software responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such external sites or resources.

Third-Party API Keys

Certain features of the Services allow you to provide your own API keys for third-party services (such as Google Gemini for the chat assistant). When you provide your own API keys:

You are responsible for obtaining and maintaining valid API keys in compliance with the third-party provider's terms of service
You agree to comply with the third-party provider's terms of service, usage policies, and acceptable use guidelines
Any costs or fees associated with your API usage are your sole responsibility
We are not liable for any issues, limitations, or damages arising from your use of third-party APIs, including service outages, rate limiting, or changes to third-party terms
You acknowledge that third-party services may process your data according to their own privacy policies

6. Disclaimer of Liability

Neither Kuribo Software, nor any person or entity involved in creating, producing, or distributing any content or services contained on our Services, nor any of their respective directors, officers, employees, or agents, make any warranty whatsoever, including, without limitation, that the Services will be uninterrupted or free of errors; nor do they make any warranty as to the results that may be obtained from use of the Services or as to the accuracy, reliability, quality, or content of any information, service, or merchandise provided on or through the Services.

Our Services and all material contained therein are provided on an "as is" basis without warranties of any kind, either express or implied, including, without limitation, warranties of title or non-infringement or implied warranties of merchantability or fitness for a particular purpose, other than those warranties which are incapable of exclusion, restriction, or modification under the laws applicable to this agreement.

Use of the Services is at your sole risk.

7. Limitation of Liability

The disclaimers of liability contained in this section apply to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft, destruction or unauthorized access to, alteration of, or use of our Services, whether for breach of contract, tortious behavior, negligence, or under any other cause of action.

In no event will Kuribo Software or any person or entity involved in creating, producing, or distributing any content or services contained on our Services, or any of their respective directors, officers, employees, or agents, be liable for:

Any direct, indirect, special, incidental, or consequential damages arising out of or related to the use of or inability to use our Services
The breach of any representation or warranty
The downloading of any software owned or operated by any third party in connection with our Services

In the event any claim relating to the performance or nonperformance by Kuribo Software pursuant to this agreement is made by you, the actual damages to which you may be entitled shall be limited to the fees, if any, paid by you for use of our Services.

Kuribo Software does not endorse nor is responsible for the accuracy or reliability of any opinion, advice, or statement, nor for any offensive, defamatory, obscene, or illegal posting or conduct on our Services by anyone other than authorized Kuribo Software employees while acting in their official capacities.

8. Governing Law and Dispute Resolution

These Legal Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Legal Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of competent jurisdiction in Puerto Rico.

You agree that any legal action or proceeding between you and Kuribo Software shall be brought exclusively in the federal or state courts located in Puerto Rico, and you consent to the personal jurisdiction of such courts.

9. General Provisions

Entire Agreement

These Legal Terms, together with our Privacy Policy, constitute the entire agreement between you and Kuribo Software and supersede any prior agreements, negotiations, or understandings between them, whether written or oral, with respect to the subject matter hereof. No waiver, alteration, or modification of any of the provisions of these Legal Terms shall be binding unless in writing and signed by an authorized representative of Kuribo Software.

Severability

If any provision of these Legal Terms becomes or is declared by a court of competent jurisdiction to be illegal, unenforceable, or void, portions of such provision, or such provision in its entirety, to the extent necessary, shall be severed from these Legal Terms. The court will replace such provision with a valid and enforceable provision that will achieve, to the extent possible, the same economic, business, and other purposes of the original provision. The balance of these Legal Terms shall remain enforceable in accordance with its terms.

Assignment

You may not assign or transfer these Legal Terms or any rights or obligations hereunder without our prior written consent. We may assign these Legal Terms without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

Waiver

Our failure to enforce any right or provision of these Legal Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Kuribo Software.
